Handelsgesetzbuch

Commercial and Business Codes

The Handelsgesetzbuch, abbreviated HGB and translated as the Commercial Code, is Germany's principal statute of commercial law. It was enacted on May 10, 1897 and took effect on January 1, 1900 in the German Empire, and it remains the core commercial law of the Federal Republic of Germany today. The code governs the legal relations of merchants, sets out rules for partnership structures including general partnerships, limited partnerships and dormant partnerships, and provides for accounting requirements for limited companies as well as some criminal penalties. Where the Commercial Code does not provide a specific rule, it is supplemented by the Burgerliches Gesetzbuch, Germany's Civil Code.
